Terms of Service

Summary: Use Parcel CRM lawfully and honestly, pay your subscription, and don't abuse the platform. We keep your data secure and never sell it. Either party can terminate at any time.

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you (and, if applicable, the organization you represent) and Parcel CRM ("Parcel CRM," "we," "our," or "us"). By creating an account, accessing the Service, or clicking "I agree," you accept these Terms in full.

If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" in these Terms refers to that organization.

If you do not agree to these Terms, do not use the Service.

2. The Service

Parcel CRM is a cloud-based CRM platform for land investors, available at parcelcrm.com. The Service includes the web application, APIs, integrations (Twilio, SendGrid, Lob, PandaDoc, BatchData), and any support or documentation we provide.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will give reasonable notice of material changes where practicable.

3. Accounts and Organizations

3.1 Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3.2 Organizations

Each paid subscription creates an organization. The person who creates the organization is the admin. Admins may invite additional users and assign roles (admin, agent, read-only). You are responsible for ensuring all users in your organization comply with these Terms.

3.3 Account Security

Notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized access caused by your failure to keep credentials secure.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

4.1 Communications Compliance

When using SMS, voice, email, or direct mail features, you are solely responsible for complying with all applicable laws, including the TCPA, CAN-SPAM Act, and state do-not-call and do-not-mail regulations. You must maintain and honor opt-out requests. Parcel CRM provides the tooling; you are the sender of record.

5. Billing and Payment

5.1 Plans and Pricing

Parcel CRM offers monthly and annual subscription plans. Current pricing is shown at parcelcrm.com/#pricing. Annual plans are billed upfront and include two months free compared to monthly billing.

5.2 Free Trial

New accounts receive a 7-day free trial (14 days for beta participants). No payment method is required during the trial. At the end of the trial, the account moves to a locked state until a plan is selected and payment is provided.

5.3 Payment

Subscriptions are billed via Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis until you cancel. All prices are in USD and exclude applicable taxes.

5.4 Late Payment and Grace Period

If a recurring charge fails, we will retry and notify you. After a 7-day grace period without successful payment, your account will be locked (read-only access) until payment is resolved. Data is retained during the grace period.

5.5 Cancellation

You may cancel your subscription at any time from within the app or by emailing [email protected]. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial periods unless required by law.

5.6 Refunds

Annual subscriptions cancelled within 14 days of initial purchase are eligible for a full refund. After 14 days, no refunds are issued for annual plans. Monthly plans are not refunded.

5.7 Price Changes

We will give at least 30 days' notice before changing subscription prices. Continued use of the Service after the notice period constitutes acceptance of the new price.

6. Beta Program

Beta participants receive 2 weeks free access followed by 10% off their chosen plan for the first 6 months, and a permanent Founding Member designation in the app. Beta access is invite-only. We reserve the right to modify or end the beta program at any time, with reasonable notice to participants.

7. Your Data

7.1 Ownership

You retain full ownership of all data you enter into the Service, including seller and buyer records, activity logs, and communications content ("Your Data"). We claim no intellectual property rights over Your Data.

7.2 License to Operate the Service

You grant Parcel CRM a limited, non-exclusive license to store, process, and display Your Data solely as necessary to provide the Service to you. We do not use Your Data for any other purpose.

7.3 Data Export

You may export your CRM data in CSV format at any time using the in-app export function.

7.4 Data Deletion

Upon account cancellation or termination, your data is retained for 30 days to allow for reactivation, then permanently deleted. See our Privacy Policy for full details.

7.5 Responsibility for Your Data

You are solely responsible for the accuracy, legality, and appropriateness of Your Data, including any contact information obtained through skip-trace or other third-party sources. You represent and warrant that you have the right to upload and use all data you enter into the Service.

8. Intellectual Property

The Service, including its design, code, trademarks, and content (excluding Your Data), is owned by Parcel CRM and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation.

9. Third-Party Integrations

The Service integrates with third-party platforms including Twilio, SendGrid, Lob, PandaDoc, and BatchData. Your use of these integrations is also subject to those providers' own terms of service. Parcel CRM is not responsible for the availability, accuracy, or actions of third-party services.

Third-party API credentials you configure in the app (e.g., your Twilio account SID) remain your property and are stored server-side. You are responsible for maintaining valid and compliant accounts with each third-party provider.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We do not warrant the accuracy of any skip-trace, geocoding, or valuation data returned through third-party integrations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARCEL CRM AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Parcel CRM and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third party's rights.

13. Termination

13.1 By You

You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion.

13.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, fail to pay after the grace period, or if we are required to do so by law. We will provide notice where reasonably practicable.

13.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 7, 8, 10, 11, 12, and 15) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Burke County, North Carolina, and you consent to personal jurisdiction in those courts.

Before initiating legal action, you agree to contact us at [email protected] and make a good-faith effort to resolve the dispute informally for at least 30 days.

15. General

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Parcel CRM with respect to the Service and supersede all prior agreements.

15.2 Modifications

We may update these Terms at any time. We will post the revised Terms with an updated effective date. For material changes, we will notify you by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15.3 Severability

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

15.4 Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

15.5 Assignment

You may not assign these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
